These Terms and Conditions (“Terms”) govern your access to and use of Ayuviaz, a clinic management software platform (“Platform”, “Service”, “we”, “our”, “us”). By accessing or using Ayuviaz, you agree to comply with these Terms. If you do not agree, you must not use the Platform.

1. About Ayuviaz

Ayuviaz is a digital clinic management platform designed to help healthcare providers manage patient information, appointments, billing, digital health records, ABHA creation, and consent-based data sharing under the Ayushman Bharat Digital Mission (ABDM).

Ayuviaz is a technology provider only. It does not provide medical advice, clinical decision-making, diagnosis, treatment, or patient care of any kind.

2. Eligibility and Account Registration

You may use Ayuviaz only if you are:

  • A licensed medical practitioner, clinic, hospital, or nursing home
  • An authorized staff member acting on behalf of a registered healthcare provider

You agree to provide accurate and up-to-date information during registration and onboarding. You are responsible for ensuring that all users under your account are authorized to access the Platform.

3. User Accounts and Access

Each user account is intended for individual use. You must:

  • Keep login credentials confidential
  • Prevent unauthorized access to your account
  • Notify us immediately of any suspected security breach

You are fully responsible for all activities carried out using your account, whether authorized or not.

4. Use of the Platform

You agree to use Ayuviaz only for lawful healthcare-related purposes. You must not:

  • Use the Platform for fraudulent or misleading activities
  • Upload false, misleading, or unauthorized patient data
  • Attempt to bypass security features or system limitations
  • Use the Platform in a manner that violates applicable laws or regulations

We reserve the right to monitor usage for compliance and system security.

5. Patient Data, Ownership, and Consent

All patient data entered into Ayuviaz remains the property and responsibility of the healthcare provider using the Platform.

You confirm that:

  • Patient data is collected lawfully
  • Patients are informed about digital storage and usage of their data
  • Required patient consent is obtained before sharing health information

Ayuviaz provides tools to manage consent but does not verify the validity of consent obtained.

6. ABHA and ABDM Integration

Ayuviaz supports ABHA creation, linking, and ABDM-compliant workflows.

Please note:

  • ABHA creation depends on patient-provided details and external systems
  • Ayuviaz does not guarantee successful ABHA generation
  • ABDM policies, APIs, and technical requirements may change

Ayuviaz is not responsible for errors, delays, or downtime caused by ABDM or other government systems.

7. Data Storage and Retention

Patient and clinic data is stored securely as per applicable standards. Data retention depends on:

  • Legal requirements
  • Active subscription status
  • Your clinic’s data management policies

Upon termination, data access may be limited or removed as per applicable laws and agreements.

8. Platform Availability and Updates

We aim to provide reliable access to Ayuviaz but do not guarantee uninterrupted service. Downtime may occur due to:

  • Maintenance or system upgrades
  • Network or hosting issues
  • External service dependencies

We may introduce updates, feature changes, or improvements to enhance performance and compliance.

9. Fees, Billing, and Payments

Use of Ayuviaz may be subject to subscription fees.

  • Pricing details will be shared during onboarding or via written communication
  • Fees are payable as agreed and are non-refundable unless stated otherwise
  • Non-payment may result in restricted access or suspension

10. Intellectual Property Rights

All software, content, designs, and trademarks associated with Ayuviaz are owned by us or licensed to us.

You are granted a limited, non-transferable right to use the Platform. You may not:

  • Copy, modify, or distribute the Platform
  • Reverse engineer or attempt to extract source code
  • Use branding without written permission

11. Data Security and Privacy

We use reasonable administrative, technical, and physical safeguards to protect data. However, no digital system is completely secure.

You acknowledge that:

  • Security risks exist in electronic data storage
  • You share responsibility for protecting patient data

12. Limitation of Liability

To the maximum extent permitted by law:

  • Ayuviaz is provided on an “as is” and “as available” basis
  • We are not liable for medical outcomes or clinical decisions
  • We are not responsible for data inaccuracies entered by users
  • We are not liable for indirect, incidental, or consequential damages

13. Indemnification

You agree to indemnify and hold Ayuviaz harmless from claims, losses, or damages arising from:

  • Violation of these Terms
  • Unauthorized or unlawful use of the Platform
  • Breach of patient data obligations

14. Suspension and Termination

We may suspend or terminate access if:

  • These Terms are violated
  • Misuse or security risks are identified
  • Required by law or regulatory authorities

Upon termination, access to data may be restricted as per legal obligations.

15. Changes to Terms

We may revise these Terms from time to time. Updated Terms will be posted on the website. Continued use of the Platform constitutes acceptance of the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of Indian courts.
